Real-Time Market Data Subscriber Agreement

This agreement is between you and ChartFIG LLC ("ChartFIG", "we", "us"). You are asked to accept it when you subscribe to a paid plan, because only paid plans receive real-time market data. It adds to our Terms of Service. If the two conflict on real-time market data, this agreement wins.

1. What this covers

1.1 "Market data" means prices, volumes, quotes and other information from futures and stock exchanges that we show you in real time, and anything calculated from it that would let someone work out the original data.

1.2 The exchanges and data providers that supply market data are called "data providers" here. They include CME Group exchanges, US stock exchanges and the licensed distributors that deliver their data to us.

2. Personal, non-professional use only

2.1 You may use market data only for your own personal investing and trading decisions, viewed on your own screen.

2.2 Your subscription is priced for non-professional use. Professional use is not allowed under this agreement.

3. Your non-professional certification

By accepting this agreement, you confirm that each of these statements is true:

1. I am an individual, or a small entity trading only its own funds.
2. I am not registered or qualified as a professional trader, broker, investment adviser or similar with any securities or commodities regulator, any exchange, or any self-regulatory organisation.
3. I am not a member of any exchange, and I do not hold or lease an exchange membership.
4. I am not employed by, or acting for, a bank, broker, fund, investment adviser or other financial firm in any way that uses this market data.
5. I use the market data only for my own personal investing, and not for anyone else's money or for any business.
6. I will not use the market data on more than two devices at the same time.

4. If your status changes

4.1 You must tell us straight away at support@chartfig.com if any statement in section 3 stops being true, and before you use market data in any way this agreement does not allow.

4.2 Professional use carries different, higher fees set by the data providers. If you use market data as a professional, whether or not you told us, we may charge you the difference in fees for the period of that use, plus any charges the data providers impose on us because of it. We may also move you to delayed data or end your access.

4.3 The data providers decide in the end whether a user is professional or non-professional.

5. What you may not do

You may not:

• share, redistribute, retransmit, resell, publish or broadcast market data to anyone;
• display market data to anyone else, or let anyone else use your account to see it;
• export, download, copy or store market data outside ChartFIG, including by scraping or other automated means;
• create any product, index, price, data set or other work from market data for use by others, or use it to set prices for another market;
• feed market data into automated trading, order routing or any other system that is not you viewing it on screen;
• use market data for anything illegal, or to compete with us or any data provider.

6. Who owns the data

6.1 The data providers own the market data and all rights in it. You get only the limited right to use it set out in this agreement.

6.2 The data providers are intended third-party beneficiaries of this agreement. They may enforce it directly against you, including by asking a court to stop a breach.

7. No guarantees, no liability

7.1 Market data may be delayed, inaccurate, incomplete, out of order or interrupted. It may be changed or stopped at any time by a data provider or by us. Always check prices with your broker before you trade.

7.2 The data providers, their affiliates and their staff and licensors make no promises about the market data, including about its accuracy, timeliness, completeness or fitness for any purpose. To the fullest extent the law allows, they are not liable to you or anyone else for any loss arising from the market data or from any delay, error, omission or interruption in it, whatever the cause, or from any decision you make using it.

7.3 Our own disclaimers and limits of liability in the Terms of Service also apply.

8. Records, audits and suspension

8.1 We keep records of who receives market data and on what terms, for at least 3 years, and may share them with the data providers when they require it.

8.2 You agree to answer our reasonable questions about how you use market data, and to give accurate information, so that we and the data providers can check that this agreement is being followed.

8.3 We may suspend or end your access to real-time market data, without notice, if we reasonably believe you have broken this agreement, if a data provider requires it, or if we lose the right to provide the data.

9. When this agreement ends

9.1 This agreement lasts while you have a paid plan. It ends when your paid plan ends, or earlier if your access is ended under section 8.3.

9.2 When it ends, you must stop using any real-time market data you received. Sections 4.2, 5, 6 and 7 continue to apply to your use while the agreement was in force.

10. Replacement by an exchange's own agreement

10.1 A data provider may require you to accept its own standard subscriber agreement. If so, we will ask you to accept it in the app, and it may replace this agreement in whole or in part. If you do not accept it, we may move you to delayed data.

10.2 We may also update this agreement when a data provider changes its rules. If a change materially affects you, we will ask you to accept the new version in the app.
